Wholesale Terms & Conditions

L&L Candle Company, LLC (“L&L”) offers an authorized B2B buyer (“B2B Buyer”) the opportunity to directly purchase and resell select brands and products. To be considered a B2B Buyer, please review the agreement terms below and submit the application linked here

Terms & Conditions

1. Complete and sign the Application (linked here), and submit with:

    • A copy of a Business License (Business Name on License must match Business Name in Application)
    • A copy of a Resale Certificate (Business Name on Certificate must match Business Name in Application)

2. An account manager will reach out via email and advise you whether the Application has been approved.

3. Please note: L&L may revoke any approval upon ten (10) days’ prior written notice for any reason or no reason. Revocation shall not affect orders already accepted.

4. If your Application is approved, B2B Buyer will be provided with a login via email within two (2) business days.

    • The login will be associated with the primary account owner email address provided in the Application. Additional logins may be set up with your account manager.

5. Product Catalog

    • Only the products shown at wholesale.luminara.com will be available and are subject to change at any time.
    • All items must be purchased in minimum carton quantities which will be identified on the product page.

6. Purchase Requirements

    • Opening Order: A minimum opening order of $1,000 is required to activate your B2B Buyer account. Reorders: All subsequent orders must meet a $550 minimum.
    • All orders are to be made via credit card online.
      • All orders will be reviewed by your account manager prior to acceptance and forwarding to the warehouse.

7. Product Pricing

    • Product pricing is subject to change at any time.
    • B2B Buyer acknowledges that L&L maintains a Unilateral Minimum Price Policy (“UMP”).  Nothing herein shall be construed as B2B Buyer’s agreement to comply with the UMP, and L&L will neither seek nor accept such agreement.

8. Sales Tax

    • B2B Buyer is responsible for collecting and remitting all sales or use taxes arising from resale transactions unless L&L is required by law to do so.

9. Editing or Cancelling Orders

    • Once your order is placed, it will be submitted to the account manager for review and approval. After the order is approved and forwarded to the warehouse, no further changes or cancellations can be made.

10. Shipping

    • All orders will ship per method determined by L&L from a logistics provider of our choice.
        • Larger orders may be shipped via pallet and delivered via truck with a lift gate.
        • Smaller orders may be shipped via a common carrier (UPS, FedEx, USPS, or other)
        • No Expedited Shipping or Special Shipping Requests will be accepted.
          • Tracking information for purchases will be sent via email; expect up to two (2) weeks for delivery.
        • The cost of shipping will not be included unless otherwise specified by L&L and can be confirmed at time of checkout.

11. Return/Refund Policy

    • L&L IS NOT RESPONSIBLE FOR RETURNS OR EXCHANGES MADE BY YOUR CUSTOMERS TO YOU. NO RETURNS TO L&L ARE ACCEPTED EXCEPT FOR DEFECTS COVERED BY THE LIMITED WARRANTY, OR AS OTHERWISE REQUIRED BY APPLICABLE LAW.

12. Damage/Shortage Claims

    • B2B Buyer must provide written notice of any visible or latent damage or shortage within seven (7) days after delivery, together with photographs of the damage, or the damage/shortage claim will be denied.

13. Excluded Sales Channels

    • B2B Buyer shall not promote, market, sell, or distribute any products purchased from wholesale.luminara.com through or within the Excluded Channels. Excluded Channels are defined as: 1) E-Commerce Platforms: all website-based, software application-based, or other virtual storefronts, including but not limited to amazon.com, jet.com, ebay.com, walmart.com, faire.com, houzz.com, wayfair.com, spreetail.com, vminnovations.com, avalanche.com, alibaba.com, rubylane.com, storenvy.com, ebid.com, ecrater.com, overstock.com, rover.com, newegg.com, bonanza.com, or sellbrite.com, in each case including any affiliated or foreign websites of the foregoing, and 2) all channels whereby the final destinations of the products purchased are outside of the United States of America.

14. Governing Law and Dispute Resolution

    • The terms and conditions of this agreement are governed by the laws of the State of California, without regard to its conflict of laws rules. Any dispute shall be resolved in the state or federal courts located in Orange County, California, and the parties consent to personal jurisdiction therein.

By submitting this application, I acknowledge that I have reviewed and accepted the above terms and conditions, with the exception that the UMP is provided for informational purposes only and does not require agreement.
